Scholar Rock Announces Exercise in Full of Underwriters’ Option to Purchase Additional Shares of Common Stock in Public Offering

CAMBRIDGE, Mass., July 02, 2019 (GLOBE NEWSWIRE) -- Scholar Rock Holding Corporation (Nasdaq: SRRK), a clinical-stage biopharmaceutical company focused on the treatment of serious diseases in which protein growth factors play a fundamental role, today announced that the underwriters of its previously announced public offering have exercised in full their option to purchase an additional 450,000 shares of its common stock at the public offering price of $15.00 per share, resulting in additional gross proceeds of approximately $6.75 million, before deducting underwriting discounts and commissions and other estimated offering expenses.  After giving effect to the exercise in full of the underwriters’ option to purchase additional shares of common stock, the total number of shares sold by Scholar Rock in the public offering was 3,450,000 shares and the gross proceeds were approximately $51.75 million, before deducting underwriting discounts and commissions and other estimated offering expenses.

Scholar Rock intends to use the net proceeds from the offering to fund the SRK-015 program for the treatment of Spinal Muscular Atrophy (SMA), the SRK-181 program for the treatment of cancers that are resistant to checkpoint blockade therapies, preclinical activities for other pipeline programs, as well as for working capital and other general corporate purposes.

Jefferies LLC, Cowen and Company, LLC, and BMO Capital Markets Corp. acted as joint book-running managers for the offering. Wedbush Securities Inc. acted as co-manager for the offering.
