Scholar Rock Announces Exercise in Full and Closing of Over-Allotment Option in Initial Public Offering

CAMBRIDGE, Mass., June 04, 2018 (GLOBE NEWSWIRE) -- Scholar Rock (NASDAQ:SRRK), a biopharmaceutical company focused on the discovery and development of innovative medicines for the treatment of serious diseases in which signaling by protein growth factors plays a fundamental role, today announced that it has issued an additional 804,000 shares of common stock at the public offering price of $14.00 per share, resulting in additional gross proceeds of approximately $11.3 million, pursuant to the exercise in full of the underwriters’ over-allotment option in connection with the Company’s previously announced initial public offering of common stock. After giving effect to the full exercise of the over-allotment option, the total number of shares sold by Scholar Rock in the initial public offering was 6,164,000 shares and the gross proceeds were approximately $86.3 million, before deducting underwriting discounts and commissions and estimated offering expenses payable by the Company. All of the shares were offered by Scholar Rock. Scholar Rock began trading on The Nasdaq Global Select Market under the ticker symbol “SRRK” on May 24, 2018.

Jefferies LLC, Cowen and Company, LLC, and BMO Capital Markets Corp. acted as joint book-running managers for the offering. Wedbush Securities Inc. acted as co-manager for the offering.
